Terms of service.

These Terms of Service (“Terms”) are a binding agreement between Wabiro Inc. (“Wabiro,” “we”) and the organization that creates a Wabiro account (“Customer,” “you”). By creating an account, uploading data, or paying for a subscription, you accept these Terms on behalf of your organization.
1. The service
Wabiro is a SaaS license auditing application. You upload CSV exports of vendor, spend, and directory data; we run a deterministic rules engine and produce a report of findings, recommended actions, and estimated savings. Estimates are calculated from the data you supply and the thresholds you configure. They are not financial advice and are not guaranteed by Wabiro. You are responsible for verifying every finding with the underlying vendor before reclaiming a seat, downgrading a plan, or canceling a license.
2. Accounts and access
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us promptly at security@wabiro.com of any unauthorized use. Wabiro is a B2B product; you must be at least 18 years old and authorized to bind your organization to these Terms.
3. Subscriptions and billing
Subscription tiers and prices are published at wabiro.com/pricing. Subscriptions renew automatically at the end of each billing period at the then-current price unless canceled at least one day before renewal. You can cancel renewal at any time from /settings/billing → Stripe Customer Portal. Cancellation takes effect at the end of the current paid period; we do not pro-rate refunds for partial periods.
Free trials, where offered, convert to a paid subscription at the end of the trial period unless canceled. Taxes, where applicable, are added at checkout by Stripe.
4. Acceptable use
You agree not to:
- Upload data you do not have the right to process.
- Use Wabiro to make decisions about an individual that produce legal or similarly significant effects without human review — the rules engine is informational, not adjudicative.
- Attempt to circumvent authentication, rate limits, or tenant isolation; probe the service for vulnerabilities outside the disclosure program described in the Security page.
- Resell, sublicense, or expose Wabiro’s features as part of a competing service.
- Upload malware, illegal content, or material infringing on third-party rights.
We may suspend access for material violations of this section after providing notice and a reasonable opportunity to cure, except for violations that pose an immediate risk to the service or to other customers, where we may suspend immediately.
5. Your data
You retain all rights to the data you upload. You grant Wabiro a limited license to process that data solely to provide the service to you. We do not train models on customer data. Data handling, retention, and your rights as a data subject are described in the Privacy Policy, which is incorporated by reference.
You can permanently delete your workspace and all associated data at any time from /settings/organization → Danger zone.
6. Confidentiality
Each party may receive non-public information from the other in connection with the service. Each party agrees to use reasonable care to protect such information, to use it only to perform under these Terms, and not to disclose it to third parties except to its employees, contractors, and subprocessors who have a need to know and are bound by similar confidentiality obligations.
7. Service availability
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance is announced in advance where practical. Wabiro is provided “as is” and “as available.” To the maximum extent permitted by law, Wabiro disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, Wabiro’s total liability under or relating to these Terms is limited to the amount you paid to Wabiro in the twelve months immediately preceding the event giving rise to the claim. Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility. Nothing in these Terms limits liability for gross negligence, willful misconduct, fraud, or matters that cannot be limited by law.
9. Indemnification
You agree to defend, indemnify, and hold Wabiro harmless from third-party claims arising out of (a) your use of the service in violation of these Terms, (b) data you uploaded without the right to do so, or (c) actions you take based on Wabiro output (e.g., revoking a seat that turns out to be in use). Wabiro will defend, indemnify, and hold you harmless from third-party claims that the service, as provided by us and used within these Terms, infringes a US copyright, trademark, or trade secret.
10. Term and termination
These Terms remain in effect while you have an account. Either party may terminate for convenience at any time. You may terminate by deleting your workspace; we may terminate for cause (material breach not cured within 30 days of notice, insolvency, or operating-risk events). On termination, your access ends and we will delete or anonymize your data in accordance with the Privacy Policy.
11. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute that cannot be resolved informally within 30 days will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to personal jurisdiction there. Nothing in this section prevents either party from seeking injunctive relief for infringement or breach of confidentiality.
12. Changes
We may update these Terms. Material changes will be posted here at least 30 days before they take effect and emailed to paying customers. Continued use of the service after the effective date constitutes acceptance.
